
The shareholding framework of Mediobanca is clarified – even if it remains unstable – after the release of Unicredit and the purchase by Delfin of Leonardo Del Vecchio and other funds. Here are all the details.
Mediobanca share shocks led by Alberto Nagel, the top manager increasingly targeted by the arduous Leonardo Del Vecchio with his Luxembourg financial law Delfin.
Part of Unicredit's stake in Mediobanca ended up in Del Vecchio. Buying from the accelerated bookbuilding on the 8.4% of Piazzetta Cuccia, Delfin (through the French Natixis) jumped from 7.5% to a threshold very close to 10%.
The remaining 6% of the capital would have ended up at least temporarily – according to what it writes today Mf / Milano Finanza – to foreign funds including Black Rock, Norges Bank, UBS and Morgan Stanley, which would have acquired small packages worth three / four million euros each.
The executive president of EssilorLuxottica has become by far the first shareholder of Mediobanca before Vincent Bollore (6.73%, share destined to be further reduced), BlackRock (4.98%) and Mediolanum (3.28%).
A specific weight that would allow him already today to influence the social life of the merchant bank headed by Alberto Nagel, in the face of the collapse of the consultation agreement signed at the end of last year.
In fact, in addition to UniCredit, all the shareholders united in the old syndicate agreement participated in the light agreement, with the exceptions of the Financiere du Perguet of Bollore and the Italmobiliare of the Pesenti family, which gave notice in 2018.
In theory, Mediobanca could build an extraordinary operation in a defensive key (for example, an analyst suggests, a merger with Mediolanum) but, with a robust package of shares in hand, Del Vecchio could lock it in the assembly.
